Welcome to Agentim-ai (formerly known as Officelyai) ("we," "us," "our," or "Company"). These Terms of Service ("Terms") govern your access to and use of our Software-as-a-Service platform and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Service Description
Agentim-ai provides a SaaS platform that enables users to manage business operations, communications, and workflows. Our Service integrates with various third-party providers to deliver comprehensive functionality.
2. Third-Party Service Providers and Data Processing
2.1 Third-Party Integrations - Our Service integrates with and transmits data to third-party service providers, including but not limited to: Meta (WhatsApp Business API), GreenAPI (WhatsApp Services), OpenAI (Artificial Intelligence Services), Anthropic (Claude AI), and other third-party providers as may be integrated from time to time.
2.2 Data Transmission Acknowledgment - YOU ACKNOWLEDGE AND AGREE that: (a) Data you submit, transmit, or process through our Service may be transmitted to, processed by, and stored on servers operated by the third-party providers listed above; (b) Each third-party provider operates under its own terms of service, privacy policy, and data processing practices; (c) We are not responsible for the data practices, security measures, or policies of any third-party providers; (d) You are responsible for reviewing and accepting the terms and privacy policies of all third-party providers whose services are utilized through our platform; (e) We do not control and cannot guarantee the availability, reliability, or security of third-party services.
2.3 Third-Party Service Changes - We reserve the right to add, modify, or discontinue integration with any third-party service provider at any time without prior notice.
3. Account Registration and Security
To use our Service, you must: provide accurate, current, and complete information; maintain and promptly update your account information; be at least 18 years of age or the age of majority in your jurisdiction; and have the legal authority to enter into these Terms. You are responsible for: maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized access or security breach.
4. Pricing, Payment, and Subscription
4.1 Fees - You agree to pay all fees associated with your subscription plan as displayed on our website or communicated to you at the time of purchase. CURRENTLY, WE ONLY OFFER ANNUAL SUBSCRIPTION PLANS. Monthly subscription plans are not available at this time. We reserve the right to introduce, modify, or discontinue subscription plan options at any time without notice.
4.2 Price Changes - WE RESERVE THE RIGHT to modify our pricing at any time, with or without notice. Price changes may include: (a) Changes to existing subscription plans; (b) Introduction of new pricing tiers; (c) Modification or elimination of features within pricing plans; (d) Changes to usage-based fees or limitations. Price changes may take effect immediately for new subscriptions, upgrades, renewals, or existing subscriptions at our sole discretion.
4.3 Payment Terms - ALL FEES ARE STRICTLY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES. No refunds will be provided for annual subscriptions or any other payment arrangements. No refunds will be provided for unused time, canceled subscriptions, or dissatisfaction with the Service. Payment must be made by credit card, debit card, or other approved payment method. Failure to pay fees may result in suspension or termination of your account. You authorize us to charge your payment method on a recurring basis according to your subscription plan.
4.4 Taxes - All fees are exclusive of applicable taxes, duties, or similar governmental charges. You are responsible for paying all such taxes and charges.
5. Service Availability and Modifications
We reserve the right to: modify, suspend, or discontinue any aspect of the Service at any time; change features, functionality, or specifications; impose limits on certain features or restrict access to parts of the Service; and update, upgrade, or change the Service without prior notice. We do not guarantee that: the Service will be available at all times or without interruption; the Service will be error-free or secure; any defects or errors will be corrected; or the Service will meet your specific requirements. We may perform scheduled or emergency maintenance that may result in Service downtime. We are not liable for any disruption, data loss, or damages resulting from such maintenance.
6. Termination
6.1 Termination by Company - WE RESERVE THE RIGHT to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) Violation of these Terms; (b) Suspected fraudulent, abusive, or illegal activity; (c) Non-payment of fees; (d) At our sole discretion, with or without cause; (e) Discontinuation of the Service in whole or in part.
6.2 Termination by You - You may terminate your account at any time by: canceling your subscription through your account settings, or contacting our support team. Termination does not entitle you to any refund of prepaid fees.
6.3 Effect of Termination - Upon termination: your right to access and use the Service immediately ceases; we may delete your data and account information after 30 days; you remain liable for all fees incurred prior to termination; and sections of these Terms that by their nature should survive termination shall survive.
7. Intellectual Property Rights
The Service, including all content, features, functionality, software, and technology, is owned by Agentim-ai and is protected by copyright, trademark, patent, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not: copy, modify, or create derivative works of the Service; reverse engineer, decompile, or disassemble the Service; rent, lease, sell, sublicense, or transfer the Service to third parties; remove or modify any proprietary notices; or use the Service for competitive analysis or to build a competitive product.
8. User Content and Data
You retain all rights to data, content, and information you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your User Content solely to provide and improve the Service. You are solely responsible for: the accuracy, legality, and appropriateness of your User Content; ensuring you have all necessary rights to submit User Content; compliance with applicable data protection and privacy laws; and backing up your data. We may delete User Content: upon termination of your account; if required by law or court order; if we determine it violates these Terms; or at our discretion.
9. Prohibited Uses
You agree not to: (a) Violate any applicable laws or regulations; (b) Infringe on intellectual property rights of others; (c) Transmit viruses, malware, or harmful code; (d) Attempt to gain unauthorized access to the Service or related systems; (e) Interfere with or disrupt the Service or servers; (f) Use the Service for spamming or unsolicited communications; (g) Harvest or collect information about other users; (h) Impersonate any person or entity; (i) Use automated systems to access the Service without permission; (j) Use the Service for any illegal or unauthorized purpose.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY, AND SECURITY OR ERROR-FREE OPERATION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: loss of profits, revenue, or business opportunities; loss of data or information; business interruption; loss of goodwill or reputation; or cost of substitute services. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY AMOUNT IF YOU HAVE NOT PAID ANY FEES TO US. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Agentim-ai, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your use or misuse of the Service; (b) Your violation of these Terms; (c) Your violation of any rights of third parties; (d) Your User Content; (e) Any activity conducted through your account.
13. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and processing practices.
14. Communications
By using the Service, you consent to receive electronic communications from us, including: service-related notifications, administrative messages, marketing communications (which you may opt out of), and updates to these Terms or our policies.
15. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through: good faith negotiations between the parties, binding arbitration in the State of Delaware if negotiations fail, or litigation in the state or federal courts located in Delaware as a last resort. You agree to submit to the personal jurisdiction of the courts located in Delaware for any actions not subject to arbitration. You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class-wide arbitration.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by: posting the updated Terms on our website, sending notice to your registered email address, or providing in-app notifications. Your continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
17. General Provisions
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Agentim-ai regarding the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Agentim-ai. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, natural disasters, or failure of third-party service providers.
